These terms govern your use of the Mederi Sentinel website and application. By using the Service, you agree to them. Please read them carefully.

1. Who we are and acceptance

Mederi Sentinel is a product of Mederi Digital, LLC ("Mederi Sentinel," "we," "us," or "our"). By accessing or using our website or application (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these terms for it.

2. What the Service does

Mederi Sentinel runs automated checks on the public pages of a website you connect and reports accessibility, privacy-risk, performance, findability, and trust signals, along with recommendations and visitor insights. Our findings are automated signals for your review, not legal, medical, or compliance determinations. They do not guarantee compliance with the ADA, WCAG, HIPAA, or any other law or standard, and they are not a substitute for advice from your own counsel or privacy officer.

3. Accounts and eligibility

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. The Service is intended for businesses and for users who are at least 18 years old.

4. Your responsibilities

  • Only scan or connect websites that you own or are authorized to test.
  • Do not submit protected health information (PHI) or other sensitive personal data to the Service.
  • Do not misuse the Service, interfere with it, or attempt to access it without authorization.
  • Do not use the Service to violate any law or the rights of others.
  • You are solely responsible for your website and for your own legal and regulatory compliance, including any obligations under the ADA, WCAG, HIPAA, and applicable privacy laws, and for reviewing our findings with your own advisors before acting on them.
  • You are responsible for the accuracy of the information and website addresses you provide to us.

5. Subscriptions, billing, and cancellation

Paid plans are billed in advance on a monthly or annual basis through our payment processor. Fees are charged to your chosen payment method and, unless cancelled, subscriptions renew automatically for the same term. You can cancel at any time; cancellation takes effect at the end of the current billing period, and, except where required by law, fees already paid are non-refundable. We may change plan pricing on a prospective basis with reasonable notice.

6. Intellectual property

The Service, including its software, content, branding, and design, belongs to Mederi Digital, LLC and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Reports and findings we generate for your account are yours to use for your practice. You may not copy, resell, reverse engineer, or create derivative works from the Service without our written permission.

7. Third-party services and links

The Service relies on third-party providers and may link to third-party websites. We are not responsible for the content, policies, or practices of third parties, and your use of them is at your own risk.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any finding is complete or accurate. Automated scans can produce false positives and can miss issues; you are responsible for reviewing findings before acting on them.

9. Limitation of liability

To the fullest extent permitted by law, and regardless of the theory of liability (whether contract, tort, or otherwise) and even if we have been advised of the possibility of such damages, Mederi Digital, LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred US dollars (USD $100). These limitations apply even if a remedy fails of its essential purpose.

10. Indemnification

You agree to defend, indemnify, and hold harmless Mederi Digital, LLC and its affiliates, officers, and employees from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Service, your content, your scanning of any website you do not own or are not authorized to test, or your violation of these terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these terms or use the Service in a way that risks harm to others or to the Service. Provisions that by their nature should survive termination will survive.

12. Changes to these terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date above, and your continued use of the Service after changes take effect means you accept them.

13. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Texas. Any claim relating to the Service must be brought within one year after the event giving rise to it, or it is permanently barred, except where a longer period is required by law.
